MEMORANDUM OF AGREEMENT 0 U to, D0 I
Memorandum of Agreement made this 25" day of April, 2019, by and between 61600 MAIN
ROAD LLC, 61600 Main Road, Southold, NY 11971 ("61600 LLC"), and PORT OF EGYPT
ENTERPRISES, INC., 62300 Main Road, Southold,NY 11971 ("POE").
WHEREAS, POE owns premises at 62300 Main Road, Southold, New York that operates as a
marina(the "POE Premises"), also known as District 1000, Section 56, Block 6, Lots 4 and 6.1 and as
more fully described on Schedule A attached hereto; and
WHEREAS, 61600 LLC owns premises at 61600 Main Road, Southold, New York that
adjoins the POE Premises (the "61600 Premises"), also known as District 1000, Section 56, Block 6,.
Lot 3.4 and as more fully described on Schedule B attached hereto; and
WHEREAS, POE and C & L Realty Inc., the former owner of the 61600 Premises (the

"Former Owner"), entered into an Owner Occupied Power Purchase Agreement dated December 10,
2015 (the "PPA") with Neighborhood Power Corporation, and its successors and assigns (the "System
Owner") and 61600 LLC has succeeded to the rights and obligations of the Former Owner under the
V Unrecorded
PPA pursuant to a certain Assignment and Consent dated April, 2019; and
WHEREAS, the PPA, among other provisions, granted the System Owner a license to enter
upon, and to install and maintain its personal property, upon the respective premises of 61600 LLC and
POE for the purpose of solar power generation for the benefit of the POE Premises and 61600 Premises
(the "System").
PLEASE TAKE NOTICE, that POE and 61600 LLC are together known as the Host under
the terms of the PPA and by recording this instrument provide notice to any transferee or grantee of
POE or 61600 LLC, and to any person or entity who acquires POE or 61600 LLC, that such grantee,
transferee or acquiror will be subject to and bound by the terms of the PPA and by the agreements
entered into by POE and 61600 LLC, as the successor to the Former Owner, with respect to their
respective rights and obligations under the PPA and to each other with the same force and effect as if
such grantee, transferee or acquiror was originally named as a party therein including, but not limited

to, the provisions of paragraph 4 of an Amendment to Contract of Sale dated on or about April 15,
2019 (the "Contract Amendment") entered into by POE, Former Owner and 61600 LLC, which
provisions provide for, among other things, that POE and 61600 LLC will be responsible for its
respective portion of the electricity generated by the System and that the allocation of the purchase
price for the System at the time POE and 61600 LLC exercise an option to purchase the System, or

such other time as the System is purchased from the System Owner, in accordance with the terms of
the PPA will be 14% to 61600 LLC and 86% to POE as may be subsequently adjusted pursuant to the
terms of the Contract Amendment.
